VEOS Terms of Use

Acceptance

By accessing or using VEOS™ (Viascent Experiential Olfactory System), you acknowledge having read, understood, and agreed to be bound by this agreement and by Viascent terms of use and privacy policy. If you do not agree, you must immediately cease all use of VEOS™.

VEOS Output

Output refers to any content generated by VEOS™ in response to your input. This includes, without limitation:

  • Fragrance formulations
  • Ingredients or ingredient combinations
  • Accords
  • Suggestions or recommendations
  • Descriptive or creative text
  • Ratings, classifications, or analytical content
  • Any raw, processed, or formatted material produced by the system

All Output is:

  • Algorithmically generated by artificial intelligence
  • Preliminary and conceptual in nature
  • Not reviewed, tested, or validated by a human expert
  • Not intended for direct commercial use or human exposure without professional evaluation

The Output carries:

  • No warranty of accuracy
  • No warranty of safety or regulatory compliance
  • No warranty of originality or non‑infringement
  • No guarantee of suitability for any specific purpose, product category, or application

Scope and Permitted Use

VEOS™ is provided solely for lawful, original, creative fragrance development. VEOS™ is not a diagnostic tool, or substitute for professional perfumery expertise. Any scents or formulations generated by VEOS™ must be reviewed and approved by a professional human perfumer.

Access is restricted to users who:

  • Are 18 years of age or older
  • Have the legal capacity to enter binding contracts
  • Agree to be bound by this agreement and all applicable terms

Data Protection

You shall not:

  • Use any automated system, including robots or spiders, to access the VEOS™ platform
  • Circumvent any security measures or limitation
  • Attempt to extract ingredient data, proprietary olfactory profiles, or VEOS™ logic for use in competing AI models, products or services

Absolute Prohibition on Replication

You shall not use VEOS™, directly or indirectly, to:

  • Reverse-engineering
    Inputting known competitor fragrance descriptions to derive approximations.
  • Formula extraction
    Requesting reconstruction of proprietary, trademarked, or trade-secret scents.
  • Derivative replication
    Creating approximations of protected fragrances.
  • Competitive intelligence
    Using VEOS™ to analyze or deconstruct competitor product characteristics.

VEOS™ does not contain, and shall never be used to access, proprietary fragrance formulas or trade secrets belonging to third parties. Any output resembling existing commercial fragrances is coincidental and not validated for safety, efficacy, or non-infringement.

Prohibited Content and Conduct

You shall not submit or attempt to generate:

  • Sexually explicit, obscene, or pornographic content
  • Content promoting illegal, fraudulent, or harmful activities
  • Requests involving banned, restricted, or unregulated fragrance materials, including:
    - Materials prohibited or restricted by IFRA Standards
    - FDA-regulated substances outside approved cosmetic uses
    - Substances restricted under EU Cosmetics Regulation (EC) No 1223/2009
    - EPA-regulated pesticides or antimicrobial claims
    - CPSC-regulated hazardous substances
  • Medical, therapeutic, diagnostic, or health-related claims (e.g., "treats anxiety," "improves sleep")
  • Content infringing intellectual property, privacy, publicity, or other proprietary rights

Intellectual Property

All outputs are preliminary, conceptual, and experimental. They:

  • Do not constitute finalized, tested, or production-ready formulas
  • Require professional review, modification, and safety validation
  • Are generated algorithmically without human perfumer oversight unless explicitly engaged
  • Carry no warranty of originality, non-infringement, or commercial viability

No Proprietary Formula Access

VEOS™ does not provide, and you shall not attempt to obtain:

  • Confidential or proprietary fragrance formulas of third parties
  • Trade-secret accords, bases, or proprietary blends
  • Information subject to non-disclosure or confidentiality obligations

User Responsibility for IP Clearance

You bear sole responsibility for ensuring that any fragrance developed, modified, or commercialized using VEOS™ outputs does not infringe third-party patents, trademarks, trade dress, copyrights, or trade secrets.

Viascent disclaims all liability for infringement arising from your reliance on or modification of outputs.

Safety and Regulatory Compliance

Professional Review Required

All outputs must be reviewed, validated, and adjusted by a qualified perfumer, fragrance chemist, or regulatory professional prior to:

  • Any production, manufacturing, or compounding
  • Any commercial sale, distribution, or marketing
  • Any human exposure or testing

User Assumption of Risk

You assume all risk for:

  • Safety testing and toxicological evaluation
  • Regulatory compliance in all jurisdictions of manufacture and sale
  • Ingredient sourcing, quality, and concentration levels
  • Labeling, marketing claims, and consumer instructions
  • Product liability, personal injury, and property damage

No Regulatory Determination

VEOS™ does not provide:

  • IFRA compliance certifications
  • Safety assessments or toxicological profiles
  • Regulatory approvals or clearances
  • Cosmetic or fragrance pre-market notifications

Data Handling

You shall not submit personal data, confidential business information, or sensitive personal information through VEOS™. If personal data is inadvertently submitted, it will be processed in accordance with the Viascent's privacy policy and applicable data protection law.

Company's Right to Refuse or Restrict

Viascent reserves the right, without prior notice, to:

  • Refuse, modify, or terminate any output generation
  • Restrict or suspend your access
  • Report prohibited activity to appropriate authorities
  • Cooperate with legal process regarding your conduct

Determinations under this Section are in Viascent's sole discretion and are final.

Disclaimers

"As Is" Provision

VEOS™ and all outputs are provided "AS IS" and "AS AVAILABLE" without warranty of any kind, whether express, implied, statutory, or otherwise, including but not limited to:

  • Merchantability or fitness for any particular purpose
  • Non-infringement of third-party rights
  • Accuracy, completeness, reliability, or usefulness
  • Safety for human use or environmental release
  • Compatibility with any device, system, manufacturing process or ingredient

No Guarantee of Results

Viascent does not warrant that VEOS™ will:

  • Generate original, non-infringing, or commercially viable outputs
  • Meet your specific requirements or expectations
  • Operate uninterrupted, timely, secure, or error-free
  • Produce outputs suitable for any particular application or market

Limitation of Liability

To the maximum extent permitted by law, Viascent shall not be liable for any:

  • Direct, indirect, incidental, special, consequential, or punitive damages
  • Lost profits, revenue, data, or business opportunities
  • Personal injury, property damage, or product liability
  • Claims arising from your reliance on, modification of, or commercialization of outputs
  • Third-party claims alleging infringement based on your use of outputs

This limitation applies regardless of legal theory (contract, tort, strict liability, or otherwise) even if Viascent was advised of the possibility of such damages.

Indemnification

Yoi shall defend, indemnify, and hold harmless Viascent, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your access to or use of VEOS™
  • Your reliance on, modification, or commercialization of outputs
  • Any breach of this agreement or applicable law
  • Any product liability, personal injury, or property damage claim related to fragrances developed using VEOS™

Governing Law and Dispute Resolution

Governing Law

This Addendum shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.

Venue

Any legal action arising from this Addendum shall be brought exclusively in the state or federal courts located in Broward County, Florida. You irrevocably consent to the personal jurisdiction of such courts.

Attorneys' Fees

In any action to enforce this agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

General Provisions

Integration

This agreement, together with the Viascent terms of use and privacy policy, constitutes the entire agreement regarding VEOS™ use.

Severability

If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force.

Waiver

No waiver of any breach shall constitute waiver of any subsequent breach.

Survival

Sections addressing Prohibition on Replication, Intellectual Property, Safety and Regulatory Compliance, Disclaimers, Limitation of Liability, Indemnification, and Governing Law shall survive termination of your access to VEOS™.

Modification

Viascent may modify this agreement at any time. Continued use after posting of modifications constitutes acceptance.
